Types of Mainland Companies in UAE:

The most common types of mainland licenses in UAE fall under the category of:

Limited Liability Company (LLC):

Limited Liability Company (LLC) is the most common legal form of mainland business in the UAE. A limited liability company can be formed by a minimum of 02 and a maximum of 50 shareholders whose liability is limited to their shares in the business capital.

Ideally, in any LLC company formed inside the jurisdiction of UAE, 51% shares are assigned to the local sponsor and 49% shares are allocated among overseas / expat investors. With the recent amendment of UAE Commercial Company Law in 2021, foreign investors are allowed to own 100% ownership in specific category of activities.

When you wish to form an LLC with a UAE local partner 51 % of the stake will be owned by the sponsor. Local sponsors usually act as sleeping partners in a business entity and won’t be involved in the running of your business. They normally help you in dealing with the ministries and government authorities to streamline necessary approvals.

  • Even if an LLC is formed with a UAE national as 51 % shareholder, profits can be accorded in a different ration.

Sole Establishment:

Sole Establishments are formed with 100% ownership for an expat with UAE local partner as Local Service Agent (LSA). Sole Establishments are formed with one share holder and the UAE national (LSA) will act as an agent with 0% ownership.

  • A commercial or industrial type Sole Establishment (also known as Sole Proprietorship) can be owned by a UAE national or GCC national only.
  • The owner of a Consulting type of Sole Establishment should have a specific qualification for the activity selected.
  • A Sole Establishment firm can have only one manager.
  • A Sole Establishment has no minimum requirement of business capital.
  • The trade name should be related to the activity.
  • A Sole Establishment can have branches which can perform all activities included in the license of the parent form.
  • A firm and its branches can be sold; but the industrial or commercial type of firm can be sold to a UAE national or GCC national only.

Civil Company:

A civil company is another legal form of mainland business in the UAE, wherein the company is formed by 100% foreign ownership with up to three shareholders and a Local Service Agent (LSA). Normally this type of mainland companies is confined to professional and service activities license.

The local service agent owns 0% business share and profit whereas a foreign partner or a company owns 100% business shares. The local service agent performs the role of a signing authority and give representation before government departments. LSA has no administrative powers and entails for an annual payment for his services. The local services agent can be a professional or a company owned by a UAE national. For certain activities, the professional qualification of a local service agent is mandatory.

  • Partners of any nationality can be involved in this form. If the partners do not include any UAE or GCC national, in that case the firm needs a local service agent.
  • If the company is involved in engineering activities, one partner should be UAE national who owns not less than 51% of the business.
  • If the company is involved in consulting activities, the firm must be owned by professional partners, practicing the same activity with 100% ownership.

One-Person Company:

The one-person company is limited liability company (LLC) owned by an individual or a corporate body is called a one-person company. The difference between a sole establishment and this legal form of company is that the liability is limited to the shares held by the owning entity.

  • A UAE national or GCC national can set-up and own this legal form of company.
  • A corporate body that is 100% owned by UAE or GCC nationals can own such a firm.
  • The owner is a shareholder, and his liability is limited to the value of shares he holds.
  • Share capital is as recorded in the Memorandum of Association (MOA).
  • The tradename should include owner name, legal form (one-person company) and end with LLC.

Partnership Company:

This type of mainland company is formed with the ownership shared by two or more partners who will fall in to a general or limited partner category, and the minimum age for each partner should be 21. Each of the partner is jointly and severely liable to the extent of their assets for the company’s liabilities.

The partners in the partnership are liable for its debts and legal action – either personally, created by agreement, proof of existence and estoppels. The agreement of the partnership must be created and with the outline in detail and the profit-sharing arrangement between the partners.

In the eventuality of death, insanity, bankruptcy or withdrawal of partner, the partnership must be dissolved. A fresh partnership agreement must be created among the remaining partners who would like to continue and may have new partner(s) who are added. This type of mainland business entity is ideal for setting up an investment company for group of a company, the investing entities will act as shareholders.

  • UAE nationals must be general partners in a simple limited partnership. Partners of other nationals must be limited partners.
  • There is no restriction on the share of ownership or limited partners.
  • Limited partners should not intervene in the management or administrative issues of general partner. If they do so, they may become liable for all the business obligations.
  • Authorized signatories, their roles, powers, etc. are to be specified.

Branch of a Foreign Company:

A company registered abroad can have a branch in any of the emirates in UAE and can have headquarters in the emirate under its business jurisdiction. No import of goods is allowed by the branch, and this should be done through a local trading firm. The branch would be under 100% ownership of the parent company.

  • UAE nationals are mandatory to act as Local Service Agents (LSA).
  • The LSA can be an individual or a company. But it should be noted that LSA must be a UAE national or in the case of a company, run by UAE nationals.
  • A Board of Resolution must be issued from the parent company for any changes on company structure such as Add or Renew Directors, Revoke Power, Change in Name, Change of LSA, etc.

Representative Office (Subsidiary) of a Foreign Company:

Representative Office / Subsidiary is not a complete business structure, and it is only a permit that allows branch of a foreign company can conduct their business-related matters in the UAE.

Primarily, it is an authorization to promote and market company’s business; but can’t engage in business operations. Such a subsidiary or representative office should have a Local Service Agent (LSA).

  • The LSA who would be a UAE national does not have any civil responsibility or financial obligations to the business.
  • His obligation is to ensure that the branch can continue its business in UAE, but he shall not have any legal interest in the management, business, profits, or assets of the branch.
  • This type of company is constituted by the parent company in a foreign location to carry out marketing and non-transactional business operations.
  • The incorporation procedures involved are comparatively easy as the representative offices are not used for any core business purpose.
  • In case the allocated permit is expired, and the owners have failed to renew the permit, the local agent has all the rights to terminate the license and sending a legal notice to the owners.

Branch of a Local Company:

The branch of a local company is a business entity is ideally a separate office or branch of an existing company already licensed in the UAE, but outside the free zones. The permit must be issued from DED, and any additional offices must be disclosed to DED to issue additional permits and the company represent for any inspection from authorities.

  • The tradename used in the branches cannot differ from the one used by the parent company.
  • Branch of a UAE based company can undertake one or more of the activities included in the main company license.
  • For a company with multiple branches, each branch can undertake different activities if they were all included in the original license of the main company.
  • The shareholding pattern of the branch will remain in the same proportion as the parent company.
  • The license number is specific to the branch of a local company with its own immigration and labor cards, permitting to hire staff to the activity.

Branch of a GCC based Company:

Companies owned by the GCC nationals can open branch in UAE. The branch of a GCC-based company can undertake one or all the activities included in the main license of the company. For a company with multiple branches, each branch can undertake different activities if they were all included in the main license of the company.

  • The company must be fully owned by the GCC national.
  • GCC nationals can register their company as Sole Establishment, One-person Company or as a partnership firm (given that all the partners are GCC nationals).
  • A GCC national who intends to setup a business in UAE and wants to have a non-GCC national as partner, can setup a limited liability company (LLC) with 51% stake for the local partner.

Branch of a Free Zone Company:

The companies registered under the free zones of UAE can set up branches in mainland after necessary approval from Department of Economic Development (DED). Such branches should have a local service agent if the free zone company does not have a UAE shareholder with 51% shares. Prior to do the branch license application at Department of Economic Development (DED), the branch of a free zone company must register with the Ministry of Economy (MOE).

  • The free zone companies that have local shareholding does not need local agent.
  • The LSA who would be a UAE national does not have any civil responsibilities or financial obligation on the affairs of the branch.
  • An automatically renewable bank guarantee for AED 50,000 is required.
  • The name of the branch office must be identical to the name of the mother company.
  • Process involves initial approval from Ministry of Economy, UAE (MOE), completion of licensing procedures at Department of Economic Development followed by registration at MOE after obtaining trade license.
  • Free zone companies cannot set up branches that practice the following activities:
  1. Commerce and any ancillary activities- representing general sale and purchase of goods
  2. Commodities (trading activities)
  • Restaurants, café shops and food catering services
  1. Hajj and Umrah services
  2. Labor supply
  3. Commercial agencies
  • Social care and activitiesIn case the branch facility has failed to renew the registration of its branches or offices for a period of two successive years, such banks shall be administratively de-registered. Likewise, the penalties and fines will be deducted from the bank guarantee.

Holding Companies:

A holding company is a legal corporation that is created for the purpose to hold, possess, and control the shares of other companies. Holding companies are therefore legal entities that are incorporated by either local or foreign investors with the sole purpose of owning shares or other assets in other companies.

  • The holding companies enjoy the benefit of protection from losses. If a subsidiary company goes bankrupt, the holding company may experience a capital loss and a decline in net worth. However, the bankrupt company’s creditors cannot legally pursue the holding company for remuneration.
  • To register an onshore holding company, a foreign investor must have a local partner who will own 51 % of shares in the company.
  • To purchase real estate or hold investments in other companies, holding company is a wise option.
  • A holding company is not permitted to carry out business activities such as providing services or manufacturing goods. The essential advantage of the holding company is that it allows the owners to control the affairs of constituent companies in the holding.

Public Joint Stock Companies:

In Public Joint Stock Companies (PJSCs) capital is divided into equal shares and the shareholders liability is limited to the number of shares in the company. The management of PJSC is carried out by a collegial body of directors. The articles of association will state their term of office which should not exceed three years.

The management of PJSC is vested in a board of directors consisting of three to fifteen directors. The ordinary general assembly will elect members of the board of directors. The founders can also appoint (as an exemption), the first board of directors for a period of three years. Most of the directors in a PJSC including the chairman must be UAE nationals.

  • Every shareholder invests in the company and can benefit from the business. Further, each shareholder owns a piece of the company, up to the amount they have invested. Ownership often comes with additional privileges as well.
  • The main objective of forming a PJSC is to access wide capital and expand the activities of the company with the help of multiple shareholders. With the help of accrued capital PJSCs can make sustainable and diversified resources.

The United Arab Emirates formally become a part of Madrid Protocol for Intellectual Property Registrations and Enforcement of Intellectual Property Rights on 28th December 2021.

UAE has deposited its instrument of accession to the Madrid Protocol, making it the 109th member of the Madrid System, which covers 125 countries. This also makes UAE, the 3rd country among GCC countries alongside Bahrain and Oman to join Madrid Union. The protocol has come into force w e f December 28, 2021.

How it is beneficial for you?

The UAE’s accession further strengthens the Madrid System’s status as a key component of protecting marks globally, offers a conventional cost-effective solution for brand awareness worldwide and in the middle east region.

The owners of registered trademarks in UAE will be able to start using the Madrid System to protect their trademarks in the 124 other territories of Madrid System’s 108 members by filing a single international application and paying a single set of fees.

How does Madrid System (Global Trademark Registration) Works?

Stage 1: Submission of Designated Application at base country IP office:

The pre-requisite for submitting an application under Madrid Protocol is that the applicant’s mark should be registered (base mark) with the particular country’s IP office.

For UAE based companies it is mandatory that the mark should be trademark registered in UAE. The international application also has to be submitted through the same IP office.

Stage 2: Formal Examination by World Intellectual Property Organization (WIPO)

WIPO conducts a formal examination of your international application. Once approved, the applicant’s mark is recorded in the international register and published in the WIPO gazette of international marks. WIPO will then send the applicant a certificate of international registration and notify the IP offices in all territories where you wish to have your mark protected.

However, it may be noted that the scope of protection of n international registration is not known at this stage of the process. It is only determined after substantive examination and decision by the IP offices in the territories in which the applicant seek protection.

Stage 3:Substantive Examination by National or Regional IP Offices

The respective IP offices where the applicant wants to protect a mark will make a decision within the applicable time limit (12 to 18 months) in accordance with their legislation. WIPO will record the decision of IP offices in the international register and then notify the applicant.

If an IP office accepts to protect the applicant’s mark, it will issue a statement to grant protection.

In the event of refusal of protection from any designated territory, either totally or partially,that decision will not affect the decision of other IP offices. The applicant can contest a refusal decision directly before the IP offices concerned, in accordance with its legislation.

The international registration of a mark is valid for a period of valid for 10 years and renewable.
